These terms set the rules for using the Innospe Inc. website. They cover the website only. Work we do for clients is governed by a separate signed agreement.
1. About these terms
This website is operated by Innospe Inc. ("Innospe", "we", "us", "our"), located at 55, 145 1/2 Church Street, Unit 5, Toronto, Ontario M5B 1Y4, Canada.
These terms govern your use of www.innospe.com. By using the website you agree to them. If you do not agree, please do not use the website. If you use the website on behalf of an organisation, you confirm that you are authorised to accept these terms for it.
2. Our services are covered by separate agreements
The website describes the software development, design, AI, and engineering services we offer. It is not an offer capable of acceptance. Any services we provide are governed by a written agreement, such as a master services agreement or statement of work, signed by you and us. If that agreement conflicts with these terms, the agreement prevails for the services it covers.
3. Website content is general information
Content on the website, including service descriptions, process outlines, technology lists, and answers to common questions, is provided for general information. It is not technical, legal, financial, or other professional advice, and it is not a commitment about how a particular project will be scoped, priced, staffed, or delivered. Those details are set only in a signed agreement.
We work to keep the website accurate and current but do not guarantee that it is complete or free of errors, and we may change or remove content at any time without notice.
4. Acceptable use
You may use the website for lawful purposes only. You agree not to:
- break any applicable law or regulation, or infringe anyone's rights
- attempt to gain unauthorised access to the website, its servers, or any connected system
- introduce malware or other harmful code, or interfere with the website's operation or security
- probe, scan, or test the website for vulnerabilities without our written permission
- place an unreasonable load on our infrastructure, including through denial-of-service activity
- submit false, misleading, unlawful, defamatory, or infringing information through the contact form
- send unsolicited commercial messages through the contact form or to addresses found on the website
- impersonate another person or misrepresent your affiliation with any person or organisation
Search engines and AI assistants may crawl and index publicly available pages in line with our robots.txt file.
5. Intellectual property
The website and its content, including text, graphics, illustrations, logos, page design, and code, belong to Innospe Inc. or its licensors and are protected by copyright, trademark, and other laws. "Innospe" and the Innospe logo are our trademarks. Other names and logos shown, including those of technologies we work with, belong to their respective owners and are used for identification only; their appearance does not imply endorsement or partnership.
You may view the website, and print or download pages for your own internal, non-commercial reference, provided you keep all copyright and proprietary notices intact. You may quote brief excerpts with attribution and a link to the source. Any other reproduction, modification, distribution, or commercial use requires our prior written consent.
6. Information you send us
Personal information you submit is handled as described in our Privacy Policy.
Please do not send confidential or proprietary information through the contact form. Unless we have signed a confidentiality agreement with you, information you send is not treated as confidential, though we will not publish it. We are glad to put a non-disclosure agreement in place before you share project details.
If you send us unsolicited ideas or suggestions, you agree that we may use them without restriction or compensation, to the extent the law allows. This does not apply to material covered by a signed agreement between us.
7. Third-party links and services
The website may link to, or load resources from, websites and services operated by others. We do not control them and are not responsible for their content, availability, or practices. Following a link is at your own risk and subject to that third party's terms.
8. Disclaimer of warranties
The website is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties and conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, secure, or free of errors or harmful components.
9. Limitation of liability
To the fullest extent permitted by law, Innospe and its directors, officers, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to your use of, or inability to use, the website, even if we have been advised that such damages are possible.
To the same extent, our total liability for all claims relating to the website is limited to one hundred Canadian dollars (CAD $100).
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law. Liability for services we deliver is addressed in the signed agreement for those services, not in these terms.
10. Indemnity
You agree to indemnify Innospe against claims, losses, and reasonable costs, including legal fees, that arise from your breach of these terms or your misuse of the website.
11. Suspension of access
We may suspend or block access to the website, in whole or in part, for anyone who breaches these terms or threatens the website's security, and we may modify or discontinue the website at any time.
12. Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law rules. The courts of Ontario, sitting in Toronto, have exclusive jurisdiction over any dispute relating to these terms or the website, and you agree to submit to them. If you are a consumer, this does not remove any protection given to you by the mandatory laws of the place where you live.
13. General
If a court finds any part of these terms unenforceable, that part is limited or removed to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and us about your use of the website.
14. Changes to these terms
We may revise these terms from time to time. The date at the top of the page shows when they were last updated. Changes apply from the date they are posted, and your continued use of the website after that date means you accept them.
